In this course we will study the Philippine law on obligations and contracts based on the provisions of Book IV of the Civil Code of the Philippines. The first part will deal with OBLIGATIONS, specifically its nature and effect, the various kinds of obligations and its mode of extinguishment. The second part will deal with CONTRACTS, specifically its essential requisites, the forms of contract, the rules of interpretation of contract and the various kinds of defective contracts.

This course deals with the basic principles of law in relation to obligation and their applicability to commercial transactions. It involves a discussion of the nature, sources, kinds of obligations and contracts.
Topics included: legal concepts of enforceable rights and obligations; types of laws and the natural legal system; nature, purpose and scope and key principles of legislation; sources and kinds of obligations under the Civil Code; nature and effects of obligations; circumstances affecting obligations; rights and duties of both the debtor and the creditor; extinguishment of obligations; general principles of law on contracts; elements and stages of the perfection of contracts; form and interpretation of contracts; reformation of instruments; and kinds of defective contracts.
